Terms of Use

These Terms of Use ("Terms") govern your access to and use of the FoodCal mobile application and the akizitech.com website (together, the "Service"), operated by Akizi LLC ("Akizi", "we", "us", "our"). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old (or the minimum digital-consent age in your jurisdiction, whichever is higher) to use FoodCal. By using the Service, you represent that you meet this requirement and that any information you provide is accurate.

3. What FoodCal is — and isn't

FoodCal is a meal-logging and nutrition-tracking tool. Calorie, macro, and "health score" estimates are produced by an AI model and should be treated as estimates. FoodCal is not a medical device, does not diagnose or treat any condition, and does not provide medical, nutritional, or dietary advice. Always consult a qualified professional before making decisions about your diet, weight, or health. Never disregard professional medical advice or delay seeking it because of something you read or saw in the App.

4. Your content and license

You retain ownership of the photos, voice transcripts, and text you submit through the App. By submitting a meal photo, transcript, or description to our AI service, you grant Akizi LLC a limited, non-exclusive, royalty-free, worldwide license to process that content solely for the purpose of returning a response to you. We do not store your submissions after the response is returned.

5. Subscriptions, billing, and refunds

  • Auto-renewing subscriptions. Premium features are sold as auto-renewing subscriptions through Apple's App Store or Google Play. Pricing, renewal date, and cancellation terms are governed by your store account.
  • Free trial. A 7-day free trial may be offered with first-time subscriptions. If you do not cancel before the trial ends, the trial converts to a paid subscription at the price displayed at purchase. Trial eligibility is shared across our monthly and yearly plans (one trial per subscription group).
  • Cancellation. Manage or cancel anytime through your Apple ID or Google Play account settings. You retain access through the end of the current paid period.
  • Refunds. Refund requests are handled by Apple or Google under their respective policies — we cannot issue refunds directly. Some jurisdictions provide statutory withdrawal rights; Apple and Google handle these on our behalf.

6. Acceptable use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code of the Service except to the extent permitted by mandatory law
  • Abuse, overload, or attempt to circumvent the AI rate limits or authentication
  • Upload content that is not your own meal photo or description, or that infringes any third-party right
  • Use the Service for any unlawful purpose, or to harass, defame, or harm any person
  • Use automated means (scrapers, bots) to interact with the Service without our express written permission

7. Intellectual property

The FoodCal name, logo, app design, and all related code and content are the property of Akizi LLC and its licensors, and are protected by copyright, trademark, and other intellectual-property laws. These Terms grant you only a limited, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

8. Third-party services

The Service relies on third parties — including Apple, Google (including Gemini), Cloudflare, RevenueCat, and PostHog — to function. Your use of those services is also governed by their respective terms. We are not responsible for the acts or omissions of third parties.

Our Privacy Policy describes how we handle data and is incorporated into these Terms by reference.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF THE AI'S OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AKIZI LLC OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH MAY BE ZERO).

12. Indemnification

You agree to defend, indemnify, and hold harmless Akizi LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms or your misuse of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, abuse the AI, or otherwise create risk for the Service or other users. You may terminate at any time by deleting the App and cancelling any active subscription through your store account. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law, dispute resolution) survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Dispute resolution

We'd much rather sort things out informally. Before filing any formal proceeding, please contact us at support@akizitech.com and give us 30 days to resolve the issue. If we cannot resolve a dispute informally, any claim arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and Akizi LLC consent to the personal jurisdiction of those courts. Where applicable mandatory consumer protection laws give you the right to bring proceedings in your country of residence, this clause does not affect that right.

16. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date above, and where the changes are material we will surface a notice in the App on next launch. Your continued use of the Service after the effective date constitutes acceptance.

17. Miscellaneous

  • Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Akizi LLC regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction.
